Our goal for the traveler is to create a trusted, easy to use, extensive and completely satisfying search engine Web site that will amplify the travelers' ability to discover and reserve their ideal vacation accommodation.

There is a fee to members to advertise their vacation accommodation for rent on RoomRhino.com; however we do not charge travelers to access RoomRhino.com and research listings. Accordingly, users are granted a limited, revocable, non-exclusive license to access RoomRhino.com to, advertise vacation accommodation for rent and/or research, view or make legitimate inquiries to members regarding their interest in particular vacation accommodation for rent for their personal use.

Please use and enjoy RoomRhino.com only for the purposes as described above in as set forth in these Terms and Conditions and in conjunction with our Privacy Policy (collectively, our 'Agreement'), however, we advise that you read our Agreement carefully before doing so. As a preface, by continuing to access or use RoomRhino.com or any service on this site, you signify your acceptance of our Agreement without modification and thereby agree to be bound by our Agreement. If you do not accept all of these terms and conditions, please do not use RoomRhino.com. Use of the RoomRhino.com for any other purpose is strictly prohibited. The term "you" refers to the customer visiting, using and accessing RoomRhino.com and/or contributing content on RoomRhino.com.

By accessing and using RoomRhino.com, you represent that you have read and agree to be bound by our Agreement and warrant that you will use RoomRhino.com only in accordance with our Agreement.

You further agree that (i) you will only use RoomRhino.com to make legitimate reservations or post legitimate vacation accommodation for rent for you or for another person for whom you are legally authorized to act; (ii) all information supplied by you on RoomRhino.com is true, accurate, current and complete; and (iii) if you have a RoomRhino.com account, you will safeguard your account information and will supervise and be completely responsible for any use of your account by anyone other than you.

In addition you represent, warrant and covenant that you (i) have the power and authority to enter into our Agreement; (ii) are at least eighteen (18) years old and possess the legal authority to create a binding legal obligation; (iii) shall not use any rights granted hereunder for any unlawful purpose; and (iv) shall not interfere or disrupt RoomRhino.com or any networks connected to RoomRhino.com.

We retain the right at our sole discretion to deny access to anyone to RoomRhino.com and the services we offer, at any time and for any reason, including, but not limited to, for violation of our Agreement.

RoomRhino.com is not a party to any rental transaction and does not own nor contract for any vacation accommodation for rent listed on the site. We are not involved in the actual transaction between travelers and members. All content provided on RoomRhino.com is based upon information which we believe to be reliable. Although we take all reasonable steps to verify that information provided to RoomRhino.com is the truth, accurate and legitimate, should you decide to partake in a transaction it is solely your responsibility to assess on an individual basis (i) the truth, accuracy and legitimacy of the information provided; (ii) the ability of members to rent vacation property; and (iii) the ability of travelers to pay for vacation rent properties.

RoomRhino.com disclaims all liability for any loss, incidental or consequential damages, injury, act of god, accident, delay, or expense arising out of or in connection with the use of, or reliance on, RoomRhino.com and the contents therein. In addition, RoomRhino.com expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and security and accuracy, as well as all warranties arising by course of dealing, course of performance, or performance of trade. RoomRhino.com makes no warranty, and expressly disclaims any obligation that RoomRhino.com will meet your requirements or will be available on an uninterrupted or error-free basis and that the content will be up-to-date, complete, comprehensive, accurate or applicable to your individual circumstances or meet your expectations. In accordance with our Agreement, you will defend, indemnify, forever discharge and hold RoomRhino.com and related company and each of our officers, directors, employees and agents, harmless from and against any claim, cause of action, liability, expense, loss or demand, including without limitation reasonable legal and accounting fees, arising out of, or in any way connected with your breach of our Agreement.

RoomRhino.com and all content contained therein, including but not limited to text, content, information, software, photographs, video, audio and graphics, images, marks and logos and the selection and arrangement thereof are the proprietary property of RoomRhino.com or its licensor and are protected by U.S. and international copyright, trademarks, service marks, international treaties and/or other proprietary rights and laws. The services provided by RoomRhino.com are also protected as a collective work or compilation under U.S. copyright and other laws and treaties. All individual articles, columns, listings and other elements RoomRhino.com consists of are also copyrighted works. The trademarks, service marks, trade names, trade dress, logos, designs, and sounds associated with RoomRhino.com are owned by [RoomRhino.com], or third parties who have authorized use and may not be copied, imitated or used, in whole or in part, without the prior written permission of RoomRhino.com or the applicable trademark holder. You agree to use RoomRhino.com solely for your personal use and benefit or that of your organization where you are authorized to do so, and not for resale or other transfer to, or use by or for the benefit of, any other person or entity. You agree not to use, transfer, distribute or dispose of any information contained within RoomRhino.com in any manner that could compete with the business of RoomRhino.com. You acknowledge that RoomRhino.com has been developed, compiled, prepared, revised, selected and arranged by RoomRhino.com and others (including certain other information sources) through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort and money and constitutes valuable intellectual property and trade secrets of RoomRhino.com and such others. Our Agreement shall be governed and construed in accordance with the laws of the United States of America and the State of New York, without giving effect to conflicts-of-law principles thereof. You agree to submit to the personal jurisdiction of the state and federal courts located in New York County with respect to any legal proceedings arising out of this agreement and waive any objection to the propriety or convenience of venue in such courts. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of RoomRhino.com or these terms and conditions must be filed within one (1) year after such claim or cause of action arose. If any provision of our Agreement including, but not limited to, the warranty disclaimers and liability limitations set forth above, is found by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and to the extent it is not permissible, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the other provisions of our Agreement shall remain in full force and effect.

RoomRhino.com reserves the right to determine at our sole discretion the final design, layout and functionality of RoomRhino.com, which is subject to change from time to time without notice.

RoomRhino.com reserves the right, at our sole discretion, to review, edit, copy, delete or amend the content, layouts or photographs supplied by any member. All content and copy edits submitted by members are subject to review and approval by us at our sole discretion. Notwithstanding our right to edit and amend the content, copy edits and photographs, we do not accept and we shall not have any liability for any loss or damage resulting from the design or positioning of the copy, properties, content and/or photographs or any change made to any content, photograph or copy submitted by any member or edited or amended by us.

Each advertisement or listing may only relate to one specific vacation accommodation (property). The property in an advertisement may not be substituted by another property. If a member submits changes to an existing listing that, if approved, would substantially alter the listing to make it that of another property, then RoomRhino.com has the right to terminate the listing and may choose, at our sole discretion, to retain any fees associated with the term of the previously existing listing as compensation for the violation of this condition.

Payment for membership fees must be made in U.S. Dollars paid either by major credit or debit card, or a check drawn on a U.S. bank.

You acknowledge that we reserve the right at any time, at our sole discretion, to change or otherwise modify our Agreement without prior notice, and your continued access or use of RoomRhino.com signifies your acceptance of the updated or modified Agreement. You further accept that such changes may result in your being unable to access RoomRhino.com.
